Aditya advises clients on a wide range of corporate and commercial matters, with a primary focus on real estate and education (K-12) sector mandates. His experience includes advising on acquisitions and investments, commercial contracts, real estate and commercial due diligence, corporate governance, shareholder disputes and shareholder activism. He has worked extensively with founders, promoters, investors and developers in a range of sectors including real estate, education, manufacturing, and IT/ITeS.  

Aditya is a graduate from National University of Juridical Sciences, Kolkata. Prior to joining the firm, Aditya has worked with a publicly listed Indian Fortune 500 petroleum and natural gas company.

Acquisitions, Private Equity and Commercial Advisory

  • India’s leading alcohol manufacturer on acquisition and diligence of immovable assets including large industrial land in Karnataka;
  • Electrosteel Castings Limited, a leading listed Indian company on acquisition and diligence of land parcels of ~500 acres in Odisha;
  • A listed Indian Company on acquisition and diligence of industrial land parcels of 350 acres in Western Odisha;
  • A Bhubaneswar based Real Estate Developer on due diligence and development agreement for a greenfield real estate project in Bhubaneswar, Odisha;
  • Founder – Promoter of a Gurgaon-based biotechnology research company, in relation to proceedings before Haryana RERA in connection with delayed possession of a grade A commercial property valued at $3 million in Gurugram;
  • With Khaitan & Co. as the lead counsel, advised Manjushree Technopack on real estate aspects of its acquisition of Oricon’s Odisha based packaging and preforms manufacturing business, involving industrial land leased by Odisha Industrial Infrastructure Development Corporation (IDCO);
  • East India’s leading K12 school chain operator in acquisition of multiple K-12 school assets across India including due diligence on regulatory framework applicable to K-12 sectors in Haryana, Rajasthan, Delhi and other states;
  • 73 Strings SAS, an AI valuation company backed by Blackstone and Fidelity Investments, on various SaaS and other technology contracts with various PE Funds, pension funds and sovereign wealth funds;
  • Keye Inc., an US-based Y Combinator-backed startup, on its SaaS agreements and other technology contracts with PE funds;
  • Jaagruk Bharat, a digital platform enabling government-to-citizen (G2C) services and other allied services, in its fund raise from AJVC, an early-stage VC firm;
  • A strategic investor (In public relations sector), on its investment in a global ‘creator economy platform’ company;
  • A leading VC-backed Bengaluru based Startup operating a web-based platform for co-living spaces and rental accommodation, on their structuring, legal issues and commercial agreements including lease agreement, license agreements, terms of use, etc; 
  • public listed Cement Company on its due diligence of a listed cement company in relation to its proposed acquisition of majority controlling stake; 
  • A Bengaluru-based tech company operating a technology platform for automation and waste segregation on their commercial agreements and legal compliances; and
  • An early-stage startup operating a logistics management and automation platform, in drafting their founders’ agreement and other inter se shareholder agreements.

Shareholder Disputes and Commercial Disputes

  • Promoters of leading Indian company engaged in manufacture and export of stones and engineered surfaces, in their defence against claims arising out of alleged design infringement and disclosure of confidential information initiated by a Listed Indian Granite and Tile Manufacturing Company; 
  • A Bengaluru-based LLP engaged in automobile retail on a partners’ dispute involving the limited liability partnership and inter se designated partners on alleged fraud, issues of misgovernance, and other operational disputes arising out of the LLP Agreement; 
  • Resident-Indian selling shareholders against indemnity claims and earn out disputes arising out of share purchase transaction involving the acquisition of ownership interests in Indian IT-ITES Company; 
  • A Senior Chartered Accountant on disciplinary proceedings before Disciplinary Committee, ICAI pursuant arising out of complaints made by the Indian Company Law regulator for aiding and assisting Chinese companies in their incorporation and operations; and
