
Eeshan Mohapatra
Eeshan specializes in banking and general corporate and commercial law practice. With focus on insolvency, restructuring and financing and general corporate, he has extensive experience advising on mergers, acquisitions, commercial contracts, issuance of term loans, debentures and joint ventures. He has advised clients in a range of sectors including IT / ITes, Manufacturing, Retail and Education.
Eeshan is a graduate from NALSAR University of Law. Prior to joining the Firm, Eeshan was a member of the banking and financing practice group at Khaitan & Co.
Certain key transactions / matters handled by Eeshan are set out below:
- advised a Raipur-based steel manufacturing company on its acquisition of an integrated steel plant vertical vide a business transfer agreement;
- advised Newron on acquisition of Sabari Indian School, a top-rated CBSE affiliated school in UAE, from Al Najah Education;
- advised Orion Capital Asia in a debt investment of INR 450 crores by Kotak Mahindra Bank, IndusInd Bank, and other investors in JC Flowers ARC. This transaction was part of the acquisition of non-performing loans (NPLs) from YES Bank, marking the largest NPL acquisition by an asset reconstruction company in India;*
- advised and assisted Reliance Industries Limited in its capacity as resolution applicant for multitude of corporate debtors undergoing corporate insolvency resolution process;*
- advised and represented State Bank of India, Axis Bank, Bank of Baroda, Neo Asset Management and Investec India and other banking & / AND non-banking financial institutions in issuance of term loans and subscription to listed and unlisted non-convertible debentures in India. Assisted with the drafting and diligence leg of the transactions
- advised a leading Venture Capital Fund for their investment in a specialty coffee brand;
- advised an upstart biotech company on its day-to-day operations including vendor and employment contracts and in navigating the compliances vis-à-vis undertaking clinical trials of its patented formulations;
- advised a not-for-profit trust and school management company in the K-12 Sector in structuring, management and acquisitions of educational K-12 institutions across India; and
- advised a former director and shareholder of a logistics company in relation to investigations and show cause notices issued under Companies Act, 2013, post his relinquishment of office as director and shareholder, before the Karnataka High Court.
