
Utsav Lohia
Utsav specialises in advising clients on mergers and acquisitions, cross border transactions, commercial contracts, India entry, retail franchising, estate planning, corporate governance and legal compliance matters. He has extensive experience in working with clients across a range of sectors, including IT / ITeS, semiconductors, manufacturing, retail and education.
Utsav is a qualified independent director, registered with the Independent Director’s databank maintained by the Ministry of Corporate Affairs.
Prior to joining the firm, Utsav spent more than half a decade in Khaitan & Co., where he practiced as a corporate and M&A lawyer.
Certain key transactions / matters handled by Utsav are set out below:
- advised British Columbia Investment Management Corporation, a Canadian pension fund, on acquisition of 100% stake alongside other investors in Tower Infrastructure Trust (InvIT) set up by Reliance for housing ‘Jio’ telecom towers – one of the largest private equity deals in India in 2019;*
- advised Renesas Electronics Corporation, a TSE-listed premier supplier of advanced semiconductor solutions, on its joint venture with CG Power and Industrial Solutions Limited and Stars Microelectronics to establish a OSAT semiconductor facility in Gujarat;*
- advised PowerSchool, a NYSE-listed global leader of cloud based software for K-12 education, on its 100% acquisition of Neverskip, a Chennai-based enterprise resource planning (ERP) software company;*
- advised Investcorp Private Equity Fund II, on its acquisition of minority stake in Intergrow Brands Private Limited (d/b/a Kitchen Treasures), a Kerala-based FMCG company engaged in manufacturing of value-added spices;*
- advised Nextiva, Inc., a leading conversation platform company, on its acquisition of Simplify 360, an AI-powered customer experience platform company based on Bengaluru, India;*
- advised Fitlife Natural Private Limited (d/b/a Jaagruk Bharat), a digital government helpdesk platform, on its pre-seed fund raise led by AJVC, an early-stage venture capital firm;
- advised a Mumbai-based high net-worth individual on his minority investment in a global ‘creator economy platform’ company;
- advised 73 Strings SAS, on various SaaS and other technology contracts with various PE Funds, pension funds and sovereign wealth funds;
- advised a leading international jewellery company on setting up of an e-commerce platform for its jewellery brand in India;
- advised a Singapore-based real estate group on acquisition of a special purpose vehicle housing commercial real estate projects in Hyderabad;
- advised several IT / ITeS and manufacturing on business / asset acquisitions and aqui-hire transactions;
- advised a leading consumer retail company on procuring the exclusive franchise of an international ‘luxury apparel’ brand in Delhi and Mumbai;
- advised a leading consumer retail company on sub-franchising of an international ‘eye-wear’ brand to local franchisees across India; and
- advised several global IT / ITeS and education companies on setting up of their Indian subsidiaries (in Bengaluru, Mumbai and Delhi NCR) and the onward legal compliances.
